Discrezo Terms of Use

Thank you for using Discrezo.

These Terms of Use ("Terms") govern your access to and use of Discrezo, including our website, applications, AI assistant, automatic routing service, Private Mode, subscription services and any other products or services we make available (collectively, the "Services").

These Terms form an agreement between you and Discrezo ("Discrezo", "we", "us" or "our").

By accessing, registering for or using the Services, you agree to these Terms.

Our Privacy Policy explains how we handle personal information. Our Privacy, Security, Routing and How It Works pages provide additional information about the design and operation of Discrezo.

If applicable law gives you rights that cannot legally be excluded or limited by these Terms, those rights continue to apply.

Who we are

Discrezo provides an AI service designed to give users access to multiple artificial intelligence models through a single interface.

Instead of requiring you to choose an AI model for each request, Discrezo can automatically route a request to an eligible model based on the nature of the request, available model capabilities, your selected privacy mode, your subscription plan and operational considerations.

What Discrezo does

Discrezo provides one AI assistant capable of routing requests across supported artificial intelligence models.

Depending on the request and the mode you select, these may include models supplied by companies such as OpenAI, Anthropic and Google, together with supported open models and other AI or inference providers.

Different questions may be handled by different models.

You do not need to choose a model in the default Discrezo experience.

The model that answers one request may therefore be different from the model that answers another.

Supported models, model versions and providers may change over time as technology, availability, security requirements and provider offerings change.

Discrezo is not affiliated with OpenAI, Anthropic or Google.

Automatic routing

By using Discrezo, you authorise the Services to automatically select an eligible model or provider for your request.

Routing may consider factors including:

  • the type of task;
  • the apparent complexity of the task;
  • the capabilities required;
  • the amount and type of context involved;
  • your selected privacy mode;
  • the models available under your plan;
  • provider availability;
  • service health;
  • latency;
  • reliability; and
  • other factors relevant to providing the Service.

Automatic routing is intended to remove the need for users to understand the strengths and weaknesses of individual AI models.

However, we do not guarantee that the routing system will always choose the objectively best model for a particular request.

You should not assume that any particular model, model version or provider will always be available.

Standard Mode

In Standard Mode, Discrezo may route your request to an approved frontier or open AI model.

The AI provider processing a request necessarily receives the prompt and relevant context required to generate an answer.

Discrezo is designed so that identifying Discrezo account information is not sent alongside that request where it is not required for inference.

For example, the AI provider should not need to receive information such as:

  • your Discrezo account ID;
  • your Discrezo account email;
  • your payment identity; or
  • your originating network identity.

This separation does not make the words inside your prompt anonymous.

If you write:

  • your name;
  • your employer;
  • your home address;
  • your telephone number;
  • confidential business information; or
  • any other identifying information

inside a prompt, the AI provider processing the prompt can read that information.

You are responsible for deciding what information you include in a request.

Private Mode

Discrezo also provides a more restrictive routing option called Private Mode.

When Private Mode is enabled, eligible requests are restricted to supported open-model routes that satisfy Discrezo's Private Mode requirements.

While Private Mode is active, your prompt will not be routed to:

  • OpenAI;
  • Anthropic; or
  • Google.

Private Mode does not necessarily mean that no external computing infrastructure processes your request.

Infrastructure may still be required to operate the supported open model used to answer the request.

Private Mode may also limit the models available for particularly difficult tasks.

As a result, an answer generated in Private Mode may sometimes differ in quality, capability or performance from an answer that could have been generated using a broader selection of models.

When Private Mode is enabled, its provider restrictions take priority over normal model selection.

Discrezo will not intentionally route a Private Mode request to an excluded provider simply because that provider would otherwise be preferred.

Privacy architecture

Discrezo is designed around separation between who you are and what you ask.

Different parts of the Services have different responsibilities.

The account side may need information relating to:

  • your account;
  • your email;
  • your subscription;
  • billing; and
  • your plan entitlement.

The AI inference side needs information relating to:

  • your prompt;
  • relevant conversation context;
  • model instructions; and
  • the generated response.

Our system is designed so that ordinary AI inference does not require both sets of information to be combined.

Our simplified description of this architecture is:

Discrezo knows who, not what. The AI knows what, not who. Nobody gets both.

This statement describes the intended architectural separation.

It does not mean that information you voluntarily write inside a prompt cannot identify you.

Saved conversations and memory

Where Discrezo provides conversation history, memory or synchronisation features, saved conversation content is designed to be encrypted on a trusted user device before it is synced.

Discrezo's backend is designed not to hold the key required to decrypt that saved content.

This means encrypted conversation data may be stored by Discrezo without being readable by Discrezo.

We do not claim that "nothing is stored."

Data may need to be stored in encrypted form in order to provide functionality such as:

  • conversation history;
  • synchronisation between devices;
  • saved memory; and
  • related user features.

You are responsible for protecting your devices, credentials and any recovery mechanisms made available to you.

In some circumstances, loss of the information necessary to decrypt your content may result in permanent loss of access to that content.

Registration and accounts

You must provide accurate and complete information when registering for an account.

Unless we expressly provide otherwise, you must be at least 18 years old or the age of legal majority applicable where you live to create a paid Discrezo account.

You are responsible for:

  • protecting your account credentials;
  • activity carried out using your account;
  • keeping your account information reasonably current; and
  • notifying us promptly if you believe your account has been accessed without permission.

You may not sell, rent, lend or transfer your account to another person without our permission.

If you create or use an account on behalf of a company or other organisation, you represent that you have authority to accept these Terms on behalf of that organisation.

Using the Services

Subject to these Terms, you may use the Services for lawful personal or business purposes appropriate to your plan.

You must comply with applicable laws and any reasonable usage, security or safety requirements we publish.

You remain responsible for how you use the Services and the Output you obtain from them.

Prohibited uses

You may not use Discrezo to:

  • carry out illegal, fraudulent, harmful or abusive activity;
  • infringe or misappropriate the rights of another person;
  • distribute malware or malicious code;
  • attack, probe or interfere with other systems;
  • interfere with the operation of Discrezo;
  • bypass or attempt to bypass rate limits or usage controls;
  • bypass subscription or plan restrictions;
  • bypass or manipulate Private Mode restrictions;
  • access another person's account without authorisation;
  • resell access to a consumer Discrezo account without our written permission;
  • use automated systems to extract substantial quantities of data or Output from the Services without permission;
  • circumvent technical safeguards;
  • obtain or attempt to obtain provider credentials;
  • attempt to gain unauthorised access to our systems;
  • reverse engineer non-public components of the Services except to the extent applicable law expressly permits it;
  • deliberately manipulate the routing system to evade restrictions; or
  • assist another person in doing any of these things.

We may implement reasonable technical measures to prevent abuse and protect users, providers and the Services.

Your Content

You may provide information, documents, text, instructions, files or other material to the Services ("Input").

The Services may generate responses ("Output").

Input and Output together are referred to as "Content."

You are responsible for your Input.

You represent that you have all rights and permissions necessary to provide your Input to the Services.

You must not submit information where doing so would violate:

  • applicable law;
  • intellectual property rights;
  • contractual obligations;
  • confidentiality obligations;
  • privacy rights; or
  • other legal duties that apply to you.

If you use Discrezo in a regulated profession or business, you are responsible for determining whether the information you submit and the way you use the Services complies with the rules applicable to you.

Ownership of Content

As between you and Discrezo, you retain any ownership rights you have in your Input.

Discrezo does not claim ownership of your Input merely because it is processed through the Services.

As between you and Discrezo, and to the extent we have any rights capable of being assigned in Output generated for you, we assign those rights to you.

However:

  • AI-generated Output may not qualify for intellectual property protection;
  • Output may not be unique;
  • other users may receive similar or identical Output; and
  • third-party rights may apply to particular Content.

You are responsible for determining whether and how Output may legally be used.

AI Output is not guaranteed to be accurate

Artificial intelligence systems are probabilistic.

Output can be:

  • inaccurate;
  • incomplete;
  • outdated;
  • misleading;
  • inconsistent;
  • biased;
  • inappropriate; or
  • entirely fabricated.

A response sounding confident does not mean it is correct.

You must evaluate Output before relying on it.

Where appropriate, you should independently verify important information.

You should not rely on Discrezo as the sole source of truth for decisions involving serious consequences.

Professional advice

Discrezo is a general AI service.

Unless we expressly state otherwise for a specific regulated product, Discrezo does not provide professional:

  • medical advice;
  • legal advice;
  • tax advice;
  • investment advice;
  • financial advice; or
  • other regulated professional advice.

AI Output is not a substitute for advice from an appropriately qualified professional.

You remain responsible for decisions you make using Output.

High-impact decisions

You should exercise particular care before using AI Output for decisions that may materially affect another person.

This includes decisions concerning matters such as:

  • healthcare;
  • employment;
  • lending;
  • insurance;
  • housing;
  • education;
  • legal rights; or
  • access to essential services.

Where applicable, appropriate human review should be used.

Third-party AI models and services

Discrezo depends on third-party technology.

Third-party AI providers and infrastructure may experience:

  • outages;
  • degraded performance;
  • latency;
  • technical errors;
  • model changes;
  • capability changes;
  • usage restrictions;
  • policy changes; or
  • discontinued services.

We may add, replace, suspend or remove a provider or model where appropriate.

We may also change routing where necessary to maintain the performance, privacy, security or availability of the Services.

Your use of Discrezo does not necessarily create a direct contractual relationship between you and an underlying AI provider.

Models may change

The AI market evolves quickly.

A provider may:

  • release a new model;
  • retire an existing model;
  • change a model;
  • change pricing;
  • change capacity;
  • change technical requirements; or
  • stop making a service available.

Accordingly, references on our website to specific models or providers describe supported availability at the relevant time and are not a guarantee that a particular model will remain available permanently.

We may replace a model with another model that we consider suitable.

Usage limits

Different Discrezo plans may provide different amounts or types of usage.

Usage allowances may consider factors such as:

  • number of requests;
  • model usage;
  • compute consumption;
  • context size;
  • heavy research workloads;
  • rate of usage; or
  • other resource consumption.

Unless a plan is expressly described as unlimited, you should not assume that it includes unlimited usage.

We may apply reasonable limits to:

  • protect service availability;
  • prevent automated abuse;
  • prevent account resale;
  • manage excessive usage;
  • protect third-party provider infrastructure; and
  • protect the security of the Services.

Subscription plans

Discrezo may offer subscription plans including:

  • Individual
  • Pro
  • Researcher
  • Business

and other plans we introduce in the future.

The current features and prices of these plans are displayed on our Pricing page.

Plan features, usage allowances and model availability may differ.

Core Discrezo privacy protections may be made available across multiple plans while higher plans provide additional usage, capability, support or business functionality.

Founding Member pricing

Eligible users who join before public launch may be offered a Founding Member price of $8 per month.

The Founding Member price applies to the Individual plan.

The standard Individual price at launch is intended to be $20 per month.

Accordingly:

  • Founding Member pricing means the standard Individual plan for $8/month instead of $20/month.
  • It is not a separate reduced-feature plan.

The Founding Member price does not provide access to Pro, Researcher or Business for $8/month.

Reserving the Founding Member price

Before launch, we may allow you to reserve the $8/month Founding Member price by entering your email address.

Unless expressly stated otherwise, reserving the price:

  • does not charge you;
  • does not require a payment card;
  • does not begin a subscription;
  • does not guarantee an exact launch date;
  • does not guarantee immediate product access; and
  • does not automatically mean you have been selected for an early-access cohort.

When the Service becomes available to you, additional steps may be required to activate your subscription.

"$8/month for life"

Where we describe the Founding Member price as "$8/month for life", we mean that an eligible Founding Member may continue to receive the Individual plan at $8/month while their qualifying Founding Member subscription remains continuously active and in good standing.

If you cancel your Founding Member subscription and later attempt to rejoin, we do not guarantee that the $8 Founding Member price will still be available.

The Founding Member price applies to the Individual plan.

It does not guarantee that:

  • the Individual plan will never evolve;
  • every AI model currently available will remain available;
  • usage allowances will never reasonably change;
  • every future Discrezo feature will be included; or
  • separately priced products or services will be included.

We will not describe an ordinary increase to the standard Individual subscription price as changing your eligible $8 Founding Member subscription price while your protected subscription remains active.

First 5,000 early access programme

After reserving Founding Member pricing, we may separately invite you to apply to be among the first 5,000 users considered for early access to Discrezo.

Reserving the $8 price and applying for early access are separate actions.

Entering your email to reserve the Founding Member price does not automatically guarantee that you will be among the first 5,000 users admitted.

If you separately apply for early access, we may require you to verify your email address before your application is treated as confirmed.

Unless we expressly guarantee otherwise, an early-access application does not guarantee selection.

Admission may depend on factors including:

  • available capacity;
  • technical readiness;
  • testing requirements;
  • geographic availability;
  • product readiness;
  • provider availability; and
  • launch sequencing.

If you are not included in the initial early-access cohort, that fact alone does not cancel an otherwise valid Founding Member price reservation.

Beta and early-access services

Early-access, preview or beta versions of Discrezo may be incomplete.

They may:

  • contain bugs;
  • experience outages;
  • change significantly;
  • have limited features;
  • provide inconsistent Output;
  • have lower capacity; or
  • be discontinued.

You should not rely on beta functionality for situations where failure could result in serious harm.

Access to a beta feature does not guarantee that the feature will appear in the final commercial Service.

Billing and recurring subscriptions

Paid Discrezo plans are recurring subscriptions unless clearly stated otherwise when you subscribe.

Before charging you, we will display the applicable subscription price, billing frequency and material subscription terms.

When you subscribe, you authorise Discrezo or its payment processor to charge the payment method you provide for the applicable subscription amount and taxes at each renewal until you cancel.

Your subscription will continue until cancelled or otherwise terminated in accordance with these Terms.

Cancellation

You may cancel your paid subscription at any time using the cancellation method made available through the Services.

Cancellation stops future subscription renewals.

Unless applicable law requires otherwise, cancellation normally takes effect at the end of the period for which you have already paid.

We will not require you to continue paying after an effective cancellation merely because you no longer wish to use the Service.

Nothing in these Terms limits cancellation rights provided by mandatory consumer law.

Refunds

Unless otherwise stated during purchase, payments are generally non-refundable after the relevant paid subscription period has begun, except where:

  • applicable law requires a refund;
  • these Terms expressly provide one; or
  • Discrezo chooses to provide one.

Nothing in this section removes mandatory cooling-off, cancellation or refund rights that apply where you live.

Failed payments

You are responsible for maintaining a valid payment method.

If a payment fails, is reversed or cannot be completed, we may:

  • attempt the payment again;
  • notify you;
  • limit paid functionality;
  • downgrade the account; or
  • suspend paid access

until payment is successfully resolved.

Taxes

Subscription prices may exclude applicable taxes unless expressly stated otherwise.

We may collect sales tax, VAT or other applicable taxes where required.

Changes to plans and prices

We may change:

  • standard subscription prices;
  • plan structures;
  • features;
  • usage allowances;
  • model availability; or
  • other aspects of the Services.

Where required, we will provide appropriate advance notice before a change materially affects an existing paid subscription.

If you do not agree to a change affecting your subscription, you may cancel before the change becomes effective.

The protections associated with an eligible Founding Member price are described separately in these Terms.

Business accounts

Business use may be subject to additional terms, an order form, data-processing agreement or separate Business Terms.

Where a separate agreement applies and conflicts with these Terms, the more specific agreement will control to the extent of that conflict.

Business administrators may have controls over accounts created or managed as part of their organisation.

Those controls will be described as part of the applicable Business service.

Feedback

We welcome feedback.

If you voluntarily provide suggestions, ideas or feedback about Discrezo, you allow us to use that feedback to develop, improve and operate the Services without compensation or restriction.

Providing feedback does not give us ownership of your private conversations or other Content.

Discrezo intellectual property

Discrezo and its licensors own the rights, title and interest in the Services and the technology used to provide them, except for Content or third-party materials belonging to others.

This includes, where applicable:

  • software;
  • interfaces;
  • routing technology;
  • website designs;
  • branding;
  • proprietary algorithms;
  • architecture;
  • documentation; and
  • other Discrezo technology.

These Terms give you permission to use the Services.

They do not transfer ownership of the Services to you.

Security

Discrezo uses technical and organisational controls intended to protect the Services and preserve the privacy boundaries described in our Privacy and Security materials.

Discrezo is ISO/IEC 27001 certified.

Certification is an important part of our information-security programme.

However, no certification, security architecture or encryption system can guarantee that a software service will never experience a vulnerability, compromise, outage or security incident.

You are responsible for maintaining reasonable security over your own:

  • device;
  • email account;
  • login credentials; and
  • local environment.

Service availability

We aim to provide a fast and reliable Service.

However, we do not guarantee that Discrezo will always be:

  • available;
  • uninterrupted;
  • error-free;
  • free from latency;
  • able to reach a particular provider; or
  • able to provide a response.

Our ability to provide the Service partly depends on third-party providers and infrastructure.

Failover and provider changes

If an AI provider or model is unavailable, degraded or unsuitable, Discrezo may route eligible requests to another approved model.

Any alternative route must remain subject to the privacy mode selected for the request.

In particular, Private Mode restrictions should not be silently abandoned merely because an excluded provider is available.

Suspension

We may temporarily restrict or suspend access to all or part of the Services where reasonably necessary because:

  • you materially breach these Terms;
  • your account appears compromised;
  • your use threatens the security or availability of Discrezo;
  • your account is being resold or abused;
  • payment remains unresolved;
  • we reasonably believe activity is unlawful;
  • a provider requires us to take action;
  • we are required to act by law; or
  • continued access would create material risk to Discrezo, our users or third parties.

Where appropriate and legally permitted, we will try to notify you.

Termination

You may stop using Discrezo at any time.

You may also cancel a paid subscription in accordance with these Terms.

We may terminate your access where reasonably necessary for the reasons described above or where we discontinue the Service.

If you believe we suspended or terminated your account in error, you may contact:

Discontinuation of the Services

We may discontinue all or part of Discrezo.

Where reasonably possible, we will provide advance notice where discontinuation materially affects paid users.

Where applicable, we will provide any refund required by law for prepaid services that we permanently discontinue before the paid period ends.

Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

DISCREZO DOES NOT WARRANT THAT:

  • OUTPUT WILL ALWAYS BE CORRECT;
  • AUTOMATIC ROUTING WILL ALWAYS SELECT THE BEST POSSIBLE MODEL;
  • A PARTICULAR MODEL WILL ALWAYS BE AVAILABLE;
  • THE SERVICES WILL ALWAYS BE AVAILABLE;
  • OUTPUT WILL BE COMPLETE OR CURRENT;
  • THE SERVICES WILL BE ERROR-FREE;
  • EVERY SECURITY VULNERABILITY CAN BE PREVENTED; OR
  • THE SERVICES WILL BE SUITABLE FOR EVERY PARTICULAR USE.

YOU ACCEPT THAT USE OF AI OUTPUT INVOLVES RISK AND THAT YOU ARE RESPONSIBLE FOR EVALUATING OUTPUT BEFORE RELYING ON IT.

Nothing in this section excludes warranties that cannot legally be excluded.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DISCREZO AND ITS AFFILIATES, PERSONNEL, SUPPLIERS AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES.

THIS INCLUDES, WHERE PERMITTED BY LAW, LOSS OF:

  • PROFITS;
  • REVENUE;
  • BUSINESS;
  • OPPORTUNITY;
  • GOODWILL; OR
  • DATA.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DISCREZO'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  • (A) THE AMOUNT YOU PAID TO DISCREZO FOR THE SERVICES DURING THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • (B) US $100.

These limitations do not apply to liability that applicable law does not permit us to exclude or limit.

Business indemnity

If you use Discrezo on behalf of a business or organisation, then to the extent permitted by applicable law, that organisation agrees to indemnify and hold harmless Discrezo and its affiliates and personnel from third-party claims, liabilities, losses and reasonable costs arising from:

  • unlawful use of the Services;
  • Content provided by that organisation;
  • infringement of third-party rights; or
  • a material breach of these Terms.

This section does not apply to individual consumer use where such an indemnity would not be permitted by applicable law.

Copyright and intellectual property complaints

If you believe Content made available through Discrezo infringes your intellectual property rights, contact:

support@discrezo.com

Please provide enough information for us to understand and investigate the complaint, including where appropriate:

  • identification of the protected work;
  • identification of the allegedly infringing material;
  • your contact information;
  • the basis for your claim; and
  • confirmation that the information you provide is accurate.

We may remove or restrict access to material where appropriate.

Changes to the Services

AI technology develops rapidly.

We may improve, modify, replace or remove features from Discrezo.

Changes may be made for reasons including:

  • improving quality;
  • improving privacy;
  • improving security;
  • introducing new models;
  • retiring models;
  • provider changes;
  • legal or regulatory requirements;
  • preventing abuse;
  • improving reliability; or
  • developing new functionality.

Not every product change requires an amendment to these Terms.

Changes to these Terms

We may update these Terms from time to time.

If we make a change that materially adversely affects your rights under an existing paid subscription, we will provide advance notice where required by applicable law.

We may give notice by:

  • email;
  • an in-product notification; or
  • another reasonable method.

The effective date at the top of this page identifies the current version.

If you do not agree to updated Terms, you should stop using the Services and cancel any applicable subscription.

Trade controls

You must comply with applicable sanctions, export-control and trade laws when using Discrezo.

You may not use the Services where doing so would cause Discrezo to violate applicable trade restrictions.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our consent, except where applicable law gives you the right to do so.

We may transfer our rights and obligations under these Terms to an affiliate, successor, acquirer or other entity involved in a reorganisation or transfer of the Discrezo business, subject to applicable law.

No waiver

If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.

Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent legally permissible and the remaining provisions will continue in effect.

Entire agreement

These Terms, together with any additional terms expressly incorporated into them or applicable to a particular Discrezo product, form the agreement between you and Discrezo concerning your use of the Services.

They supersede prior agreements concerning the same subject matter, except where a separate written agreement expressly applies.

Governing law

Except where mandatory consumer law provides otherwise, these Terms and any dispute arising from or relating to them or the Services will be governed by the laws of the State of California, without regard to conflict-of-laws principles.

Nothing in these Terms prevents a consumer from relying on mandatory rights or protections available under the laws applicable to them.

Disputes

Before starting formal legal proceedings, you and Discrezo agree to make a reasonable attempt to resolve the dispute informally.

You may begin that process by contacting:

support@discrezo.com

and providing a reasonable description of the issue and the resolution you are seeking.

Unless applicable law gives you the right to bring proceedings elsewhere, disputes that cannot be resolved informally may be brought before a court of competent jurisdiction in California.

These Terms do not currently contain a mandatory arbitration agreement or class-action waiver.
